Service Agreement
Terms for paid website, app, and digital building projects.
1. Scope of Work
This agreement governs website, application, dashboard, client portal, and digital building services provided by Eric Covey (the Builder) to the client (the Client). The specific scope, deliverables, timeline, and pricing for each project are defined in a separate project proposal or statement of work agreed upon by both parties before work begins. Any work outside the agreed scope requires written approval and may incur additional fees.
2. Deposits and Payments
A deposit of fifty percent (50%) of the total project cost is due before work begins. The remaining balance is due upon project completion and before final delivery or deployment. Payment methods include credit card, debit card, and other methods listed on the project proposal. Late payments may result in paused work until the balance is settled. All payments are non-refundable except as described in Section 4.
3. Revisions
Each project includes up to two (2) rounds of revisions per deliverable. A revision is defined as a request to adjust, refine, or modify work within the agreed scope. Additional revisions, redesigns, or scope changes are billed at an hourly rate specified in the project proposal. Revision requests must be submitted within thirty (30) days of delivery. Requests after thirty days may be treated as new work.
4. Cancellation and Refunds
Either party may cancel a project with written notice. If the Client cancels before work begins, the deposit is refundable minus a fifteen percent (15%) administrative fee. If the Client cancels after work has begun, the deposit is non-refundable and covers work completed up to the cancellation date. If the Builder cancels, any unused deposit will be refunded within fourteen (14) days. Refunds are processed to the original payment method.
5. Client Responsibilities
The Client agrees to provide all necessary content, images, credentials, feedback, and approvals in a timely manner. Delays in providing materials may extend the project timeline. The Client is responsible for the accuracy of all content provided and for ensuring they have the rights to use any images, text, or materials supplied to the Builder. The Client must designate a single point of contact for project communications.
6. Ownership and Licensing
Upon final payment, the Client receives ownership of the final delivered work, including design files, code, and content created specifically for the project. The Builder retains ownership of pre-existing templates, tools, frameworks, and proprietary systems used in the project. The Builder may display the completed work in a portfolio and reference the Client in marketing materials unless the Client requests otherwise in writing.
7. Third-Party Costs
The Client is responsible for all third-party costs including but not limited to domain registration, hosting, email services, payment processing fees, subscription services, stock photography, and licensed software. The Builder will inform the Client of any required third-party services before deployment. Third-party costs are billed directly to the Client unless otherwise agreed.
8. Support
Each project includes thirty (30) days of post-launch support covering bug fixes, technical issues, and minor adjustments related to the delivered work. Support does not include new features, design changes, content updates, or issues caused by third-party service changes. Ongoing support beyond the included period is available through a separate maintenance agreement.
9. Liability
The Builder is not liable for lost revenue, business interruption, data loss, or consequential damages resulting from the use of the delivered work. The Builder's total liability is limited to the total amount paid by the Client for the project. The Client is responsible for maintaining backups of their content and data. The Builder does not guarantee specific business results, search rankings, or conversion rates.
10. Governing Law
This agreement is governed by the laws of the State of Ohio. Any disputes arising from this agreement will be resolved in the courts located in Brown County, Ohio. If any provision of this agreement is found to be unenforceable, the remaining provisions remain in full effect. This agreement represents the entire understanding between the Builder and the Client regarding the services described.

Eric Covey is an independent builder and educator. He is not employed by Base44. Certified Base44 Partner and Base44 Advanced Educator describe his independent relationship and credentials. Some Base44 links may be affiliate links, and Eric may earn a commission at no additional cost to the user.
